ShowMio Trading Ltd

These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and ShowMio Trading Ltd, a company incorporated in the United Kingdom ("ShowMio™", "we", "us", or "our"), governing your access to and use of the ShowMio platform, including our website at showmio.com and all related services (collectively, the "Service").
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
ShowMio is an AI-powered content intelligence platform that transforms documents, audio files, and other content into interactive AI conversations. The Service enables users to upload content, create shareable AI assistants, and engage with content through text and voice chat.
You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
To access certain features of the Service, you must create an account. When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security of your password and accept responsibility for all activities under your account; (d) immediately notify us of any unauthorised use of your account; and (e) not share your account credentials with others.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. ShowMio will not be liable for any loss or damage arising from your failure to protect your account information.
ShowMio offers various subscription tiers with different features and capabilities. Details of available plans, features, and current pricing are available at www.showmio.com. The features available to you depend on your subscription plan, and we reserve the right to modify plan features with reasonable notice.
New users may be eligible for a 14-day free trial of paid features. During the trial period, you will have access to the features of the selected plan. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be charged the applicable subscription fee on the day following the end of your trial period.
Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorise us to charge your payment method for all fees incurred. You are responsible for providing valid and current payment information.
Subscriptions automatically renew at the end of each billing period unless cancelled. We will charge your payment method on file for the renewal period. You may cancel automatic renewal at any time through your account settings, which will take effect at the end of the current billing period.
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increase. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.
Subscription fees are generally non-refundable except as required by applicable law. If you believe you are entitled to a refund, please contact us at support@showmio.com within 14 days of the charge.
If a payment fails, we will attempt to process the payment again. If payment cannot be processed after multiple attempts, we may suspend or terminate your access to paid features until payment is received.
All fees are stated in United States Dollars (USD) and are exclusive of applicable taxes. Taxes, including but not limited to VAT, GST, sales tax, or other similar charges, will be applied based on your location and added to your invoice where required by law. You are responsible for payment of all applicable taxes in your jurisdiction.
If you are a consumer in the United Kingdom or European Union, you have the right to cancel your subscription within 14 days of purchase without giving any reason (the "Cooling-Off Period"). To exercise this right, you must inform us of your decision to cancel by email to support@showmio.com or through your account settings.
By using the Service during the Cooling-Off Period, you acknowledge that you may lose your right to a full refund if you have used the Service. If you cancel during the Cooling-Off Period after using the Service, you may be liable for a proportionate amount based on your usage.
You may cancel your subscription at any time through your account settings or by contacting support@showmio.com. Cancellation will take effect at the end of the current billing period, and you will retain access until that date.
You retain all ownership rights to content you upload to the Service ("User Content"). ShowMio does not claim ownership of your User Content.
By uploading User Content, you grant ShowMio a non-exclusive, worldwide, royalty-free licence to use, process, store, and display your User Content solely to provide and improve the Service. This licence includes the right to process your content through AI systems for the purpose of generating responses to queries. This licence terminates when you delete your User Content or close your account, except for any content that has been shared with third parties.
Subject to your compliance with these Terms, ShowMio assigns to you all of its right, title, and interest (if any) in and to the AI-generated responses and outputs created through your use of the Service ("Outputs"). As between you and ShowMio, you own the Outputs generated from your User Content. You are responsible for ensuring your use of Outputs complies with applicable laws and does not infringe third-party rights.
You represent and warrant that: (a) you own or have the necessary rights to upload and share your User Content; (b) your User Content does not infringe any third-party intellectual property rights; (c) your User Content does not violate any applicable laws; and (d) you have obtained all necessary consents from any individuals whose personal information may be contained in your User Content.
The Service, including all software, features, functionality, and content (excluding User Content), is owned by ShowMio and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
The Service uses third-party artificial intelligence services, including but not limited to OpenAI, Anthropic, and Google, to process your content and generate responses. By using the Service, you acknowledge and consent to your content being processed by these third-party AI providers.
Your use of the Service is also subject to the terms and policies of our third-party AI providers. While we select providers that maintain appropriate data protection standards, we are not responsible for the practices of these third-party services.
AI-generated responses are based on your content but may not always be accurate, complete, or appropriate. You should not rely solely on AI responses for critical decisions. ShowMio does not guarantee the accuracy of any AI-generated content.
ShowMio does not use your User Content to train, improve, or develop our own AI models or any third-party AI models. Your content is processed solely to provide you with the Service and generate responses to your queries. Content may be temporarily processed by our third-party AI providers to generate responses, but is not retained by them for training purposes.
You agree not to upload, share, or transmit any content that: (a) is sexually explicit, pornographic, or obscene; (b) depicts graphic violence or promotes self-harm; (c) is defamatory, threatening, harassing, or abusive; (d) promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; (e) infringes any intellectual property rights; (f) contains malware, viruses, or harmful code; (g) violates any applicable laws or regulations; or (h) is otherwise inappropriate for a professional environment.
You agree not to: (a) attempt to gain unauthorised access to the Service or other users' accounts; (b) use the Service to send spam or unsolicited communications; (c) attempt to reverse engineer, decompile, or disassemble any part of the Service; (d) use automated systems (bots, scrapers, etc.) to access the Service without permission; (e) attempt to circumvent rate limits or security measures; (f) attempt prompt injection or other techniques to manipulate AI responses; (g) impersonate any person or entity; (h) use the Service to create a competing product or service; (i) interfere with the proper functioning of the Service; or (j) assist others in any of the above activities.
We reserve the right to review, remove, or disable access to any content that violates these Terms without prior notice. We may also suspend or terminate accounts that repeatedly violate our policies.
If you become aware of any content or activity that violates these Terms, please report it to support@showmio.com.
ShowMio is designed for normal business and personal use. While we do not impose strict limits on most activities, we expect all users to use the Service reasonably and in a manner that does not negatively impact the experience of other users or the stability of the Service.
Fair use includes: (a) uploading content for legitimate business, educational, or personal purposes; (b) creating shares and conducting conversations at reasonable volumes consistent with your subscription plan; (c) using the Service in a manner consistent with its intended purpose as a content intelligence platform. We reserve the right to determine what constitutes fair use in our reasonable discretion.
Activities that may be considered excessive or outside fair use include: (a) automated or bulk operations that place unreasonable load on our systems; (b) uploading content solely for the purpose of consuming storage without genuine use; (c) generating an unusually high volume of AI queries disproportionate to legitimate use; (d) using the Service in a way that degrades performance for other users; or (e) any use that we reasonably determine to be abusive or outside the intended purpose of the Service.
To ensure fair access for all users, we implement rate limits on certain activities. These limits vary by subscription plan and may be adjusted from time to time. If you consistently exceed rate limits, we may contact you to discuss your usage or recommend a more suitable plan.
If we determine that your use exceeds fair use, we may: (a) contact you to discuss your usage patterns; (b) recommend or require an upgrade to a higher-tier plan; (c) temporarily throttle or limit your access to certain features; or (d) in cases of severe or repeated abuse, suspend or terminate your account. We will endeavour to provide notice before taking action except in cases of urgent need to protect the Service.
Our collection and use of personal information is governed by our Privacy Policy, available at showmio.com/privacy. By using the Service, you consent to our data practices as described in the Privacy Policy.
If you upload content containing personal data, you are responsible for ensuring you have a lawful basis to process that data and have obtained any necessary consents. You acknowledge that such data will be processed by ShowMio and our third-party AI providers to deliver the Service.
Enterprise customers processing personal data on behalf of third parties may require a Data Processing Agreement. Please contact enterprise@showmio.com to discuss your requirements.
ShowMio is a UK-based company. Data may be processed and stored in the United Kingdom, European Union, and United States depending on our infrastructure and third-party service providers. We ensure appropriate safeguards are in place for any international data transfers.
We implement appropriate technical and organisational measures to protect your data. However, no method of transmission or storage is completely secure. You use the Service at your own risk.
Upon termination of your account, we will retain your data for 30 days, after which it will be deleted unless required by law. You may request an export of your data during this period.
You are solely responsible for all content you upload, share, or make accessible through the Service. ShowMio does not monitor, review, or control the content you share and has no obligation to do so.
The Service provides various sharing options including private, password-protected, and public access. You are responsible for configuring appropriate access controls and verifying the identity and authorisation of recipients before sharing any confidential information.
You acknowledge the inherent risks of digital information sharing. ShowMio cannot guarantee prevention of unauthorised access to shared information. You use the sharing features at your own risk.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
Support is provided via email at support@showmio.com. Response times vary by plan. Details of support levels for each plan are available at www.showmio.com.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes where practicable.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, that AI responses will be accurate or complete, that the Service will be uninterrupted or error-free, or that any errors will be corrected.
We are not responsible for third-party services, including AI providers and payment processors, that are used in connection with the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWMIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
SHOWMIO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SHOWMIO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100 USD, WHICHEVER IS GREATER.
You acknowledge that the limitations of liability in this section are an essential element of the agreement between you and ShowMio, and that ShowMio would not provide the Service without these limitations.
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded by law.
You agree to indemnify, defend, and hold harmless ShowMio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable laws.
You may terminate your account at any time through your account settings or by contacting support@showmio.com. Termination will take effect at the end of the current billing period.
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or illegal activity, or for any other reason at our sole discretion. We will endeavour to provide notice where practicable.
Upon termination: (a) your licence to use the Service ends immediately; (b) you must cease all use of the Service; (c) we may delete your account and User Content after 30 days; and (d) any outstanding fees become immediately due.
Sections 5 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 16 (General Provisions) shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms.
Before initiating any legal proceedings, you agree to contact us at support@showmio.com to attempt to resolve the dispute informally. If the dispute cannot be resolved within 30 days, either party may proceed with formal legal action.
These Terms, together with the Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and ShowMio regarding the Service and supersede all prior agreements.
We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified at least 30 days in advance. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
You may not assign or transfer these Terms or your rights under them without our prior written consent. ShowMio may assign these Terms in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No failure or delay by ShowMio in exercising any right under these Terms shall constitute a waiver of that right.
Neither party shall be liable for any delay or failure in performance due to causes beyond their reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, or failures of third-party services.
